Background of Directors

Joseph D. Reid, Chairman of the Board
Mr. Reid currently serves as chairman, president and CEO of Capitol Bancorp Limited, a publicly-traded(NYSE: CBC) bank development company based in Lansing, Michigan and Phoenix, Arizona. In addition to organizing over 10 bank development companies and over 50 banks, Mr. Reid's entrepreneurial activities include starting a business and industrial development company, a venture capital fund, several real estate development partnerships, a nonprofit downtown revitalization organization, a nonprofit community-based forum that mentors small businesses, and a law firm that has been in operation for more than 30 years. Mr. Reid also practiced law for 20 years prior to his bank development activities.

R. Michael Briggs, President & CEO
Mr. Briggs is the President & CEO of USNY Bank. He previously was a Senior Business Development Manager for UPS Capital in Rochester, NY. He has significant experience in banking, finance, insurance, and economic development. He is a graduate of Cornell University and has attended executive education sessions at the University of Pennsylvania (Wharton School). He has been active in many community and civic endeavors, including serving as Board Chairman of Finger Lakes Health (Geneva, NY) and Soldiers & Sailors Memorial Hospital (Penn Yan, NY). He served for 10 years on the Yates County Legislature and formerly was Vice President of the Board of Education for the Penn Yan Central School District.

H. Taylor Fitch, Director
Mr. Fitch is the former owner of F&W Parts, an automotive supply business in Penn Yan that he operated from 1973-1999. He is a graduate of Bucknell University and served in the US Army in Italy. Mr. Fitch serves as the Vice Chair of the Yates County Legislature and is former chairman of the board of the Yates County Industrial Development Agency. He is also former chairman of Finger Lakes Health and Soldiers & Sailors Memorial Hospital boards. He is also a former member of the board of Healthcare Trustees of New York State and currently serves on the Governor's Rural Health Council. He participates in numerous other community and civic roles.

Murray Heaton, Director
Mr. Heaton currently serves as an attorney with Heaton & Venuti, a law firm in Geneva, NY. The law firm focuses on business, real estate, and related disciplines. Mr. Heaton is a graduate of Oberlin College and received his JD at Boston University. He has served his community on the boards of several community and civic organizations.

J. Michael Moffat, Director
Mr. Moffat is the Chief Executive Officer of Black Ash Holdings in Cooperstown, NY. This business operates the Blue Mango Grill and Sam Smith's Boatyard. Mr. Moffat graduated from Kenyon College in Ohio. He is on the board of directors of the NYS Historical Association, Farmers Museum, and Friends of Hyde Hall. He is board chairman for Brookwood School & Children's Center. He also served on the Central New York State Parks, Recreation and Historical Preservation Commission.

Robert O'Neill, Director
Mr. O'Neill is a former associate member of the New York Stock Exchange. He was a general partner of L.F. Rothchild, and executive Vice President of Tucker Anthony and a Vice President of Union Labor Life Insurance Company. A former officer in the USAF, he is the recipient of the USAF Commendation Medal. He has served on various professional, government, academic, and cultural boards. He is a graduate Civil Engineer of Manhattan College. He resides in Cooperstown, NY and Palm Beach Gardens, FL.

Robert Ranger, Director
Robert Ranger has 40 years experience in commercial banking with half of that tenure as a senior bank executive. He was Regional President at Fleet Bank, N.A. in New York State and had additional responsibilities for statewide consumer, small business, credit card and mortgage portfolios along with coordinating all CRA Activities. His career included major responsibilities in commercial lending and municipal finance. Also he was President and CEO of the Wyoming County Bank. He currently owns and operates RWR Funding providing a broad range of consulting and arranging taxable and tax-exempt financing. His major clients are municipalities, health care, public schools, volunteer fire companies, community banks and corporate entities. Mr. Ranger graduated from Cornell University and Rutgers University, Stonier School of Banking.

Bruce Thomas, Director
Bruce Thomas is President of the Eastern Regions for Capitol Bancorp limited. In that capacity he has overall management responsibility for community banks in the Great Lakes, Midwest, Southeast and Northeast Regions. He also chairs Capitol's Asset/liability Management Committee and Bank Performance Committee. Thomas joined Capitol in February 1998 as senior vice president of risk management with responsibility for designing and implementing the company's Risk Management Program. Prior to joining the company, Thomas was with the Office of the Comptroller of the Currency (0CC) for 19 years, serving in various capacities including as field office director. In that position he was responsible for a professional staff of 150 individuals and a portfolio of 130 national banks. At the 0CC he was a member of the Northeastern Districts Senior Management Team, which establishes direction and policy for the district, as well as the District's Supervisory Review Committee, which oversaw proposed enforcement and administrative actions as well as advised on complex supervisory issues. He implemented the OCC's Supervision by Risk program, and initiated outreach programs to build and strengthen relationships with bankers and bank directors. Thomas attended Southern Illinois University, where he received a Bachelor of Science Degree in Finance. He did graduate work in banking and completed MBA coursework at Western Michigan University. He also attended the Stonier Graduate School of Banking. Thomas is a graduate of the OCC's Managerial Career Development Program and has instructed 0CC and FFIEC courses on a variety of topics.

Jeffrey S. Gifford
Jeffrey S. Gifford, President of The Birkett Mills. In addition to Gifford's executive position at The Birkett Mills, which manufactures buckwheat products in Penn Yan, N.Y., he owns Carey's Lumber & Building Supply and Carey's Rental Outlet, both in Penn Yan. In the community, he is chairman of the Yates County Industrial Development Agency, Treasurer of the Genesee Reserve Cooperative in Rochester, Assistant Tournament Chairman and Executive Committee member of Section V Boys Basketball and a member of the Section V Basketball Hall of Fame committee.

H. Todd Bullard
H. Todd Bullard is a Partner with Harris Beach PLLC in Pittsford, N.Y. Mr. Bullard's practice focuses on public finance, economic development, business and litigation. He has a bachelor's degree from Alleghany College and a law degree from the State University of New York at Buffalo Law School. In the community, he currently serves on the board of Nazareth Schools and as a trustee on the Strong National Museum of Play in Rochester. He was a Monroe County legislator from 1995 to 2005.
